These terms and conditions ("Terms") govern your access to and use of SHARE by Rapido Connect LLC ("SHARE", "we", "us", or "our"), a file sharing and selling platform that enables users to upload, distribute, and monetize digital content while receiving payments globally. By accessing or using our services, you agree to be bound by these terms. If you do not agree, do not use the platform.

1. Account registration and use

To access certain features of SHARE, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify SHARE immediately of any unauthorized use of your account.

• You must be at least 18 years of age to register for an account.
• You are solely responsible for maintaining the confidentiality of your account credentials.
• You agree not to share your account credentials with any third party.
• You are responsible for all activities that occur under your account, whether or not you authorized them.
• SHARE reserves the right to suspend or terminate your account if any information provided during registration or thereafter is found to be inaccurate, false, or misleading, or if you violate these terms.

2. Content ownership and intellectual property

As a user, you retain ownership of the digital content you upload to SHARE. However, by uploading content, you grant SHARE a non-exclusive, worldwide, royalty-free license to use, reproduce, distribute, display, and perform your content in connection with the operation of the platform and the provision of our services. This license includes the right for SHARE to sublicense these rights to other users as necessary to facilitate the intended use of the platform.

• You represent and warrant that you have all necessary rights to the content you upload, including copyright and other intellectual property rights.
• You agree not to upload content that infringes upon the intellectual property rights of others.
• SHARE has the right to remove any content that violates these terms or infringes upon the intellectual property rights of others, without prior notice.
• Users who purchase content through SHARE are granted a non-exclusive license to use the content for their personal or commercial purposes as agreed upon with the seller. This license does not grant the right to redistribute or resell the content unless explicitly permitted by the seller.

3. Refund policy

SHARE enforces a strict No Refund Policy for digital files unless the seller willingly agrees to refund.

• If a seller chooses to refund a buyer, the refunded amount will be deducted from the seller’s balance along with an additional processing fee of 2.9% to 4.4% depending on the payment provider.
• All sellers are responsible for ensuring 100% customer satisfaction before accepting payments. This includes providing accurate descriptions and previews of their digital content.
• We highly recommend that sellers clearly communicate the "No Refund Policy" and any specific terms related to their digital content to clients before a transaction and maintain digital proof of delivery or service to protect against disputes. This may include timestamps, download logs, or confirmation messages.
• Buyers are responsible for ensuring the suitability of the digital content before purchasing. SHARE is not responsible for issues arising from a buyer's misunderstanding of the content's nature or specifications.

4. Chargebacks & penalties

SHARE has a zero-tolerance policy for fraudulent chargebacks:

• First Chargeback: $25 penalty
• Second Chargeback: $40 penalty
• Third Chargeback: Account suspension or permanent ban

Sellers are strongly advised to:

• Avoid accepting payments unless the buyer is fully satisfied and understands what they are purchasing. Consider offering previews or samples where applicable.
• Maintain digital records, communication logs, and delivery evidence meticulously. This information is crucial for disputing chargebacks effectively.
• Respond promptly and professionally to any buyer inquiries or concerns to mitigate the risk of chargebacks.

Chargeback Process Overview

• Buyer disputes a transaction with their issuing bank, claiming the transaction was unauthorized or they did not receive the goods/services.
• Issuer initiates the chargeback process, debiting the funds from SHARE's account temporarily.
• SHARE notifies the seller immediately and provides a timeframe to submit compelling evidence (delivery proof, communication history, terms acceptance, etc.) to refute the chargeback.
• Arbitration may follow, where credit card networks (e.g., Visa, Mastercard) review the submitted evidence and make a final decision. This process can take several weeks.

Issuer makes a decision:

• If in favor of seller: the disputed funds are returned to SHARE, and subsequently credited back to the seller's account (minus any applicable fees).
• If in favor of buyer: the disputed funds are permanently withdrawn from the seller’s account, and the seller may also incur chargeback penalties.

SHARE reserves the right to request all necessary documentation from sellers during the dispute process. Failure to provide evidence within the specified timeframe or providing insufficient evidence may result in automatic loss of the dispute.

In the case of a chargeback dispute, users who fight against a chargeback will incur a $15 fee to cover administrative costs associated with the dispute process. If the user wins the chargeback case, this $15 fee will be returned to them. The $25 fee (or $40 for the second chargeback) for receiving a chargeback is non-refundable and will be directly charged to the seller’s account to cover processing and penalty costs imposed by payment processors.

5. Payouts

SHARE offers flexible and secure payout options to ensure you get your earnings quickly and transparently. Whether you're on the FREE or PRO plan, payouts are processed based on your subscription level, with all fees clearly outlined upfront. Your funds are transferred via bank or trusted processors, subject to regional regulations, identity verification, and anti-fraud checks. Minimum payout threshold and applicable fees apply.

• Payouts are available via bank transfer or third-party processors (e.g., PayPal, Payoneer), subject to regional limitations and the availability of these services. Specific payout methods available to you will be displayed in your account settings.
• Minimum payout threshold: $10 USD (or regional equivalent in your local currency, calculated at the prevailing exchange rate at the time of payout). This threshold may be subject to change with prior notice.
• All payments are subject to mandatory identity verification (KYC - Know Your Customer) procedures, tax compliance requirements as per applicable laws, and stringent anti-fraud checks to ensure the security of transactions and prevent illicit activities. You may be required to provide identification documents and tax information to process payouts.

Payout durations:

• FREE Plan: Payout requests are typically processed within 28 business days from the date of the request, subject to meeting the minimum payout threshold and successful verification checks.
• PRO Plan: Payout requests are typically processed within 14 business days from the date of the request, subject to meeting the minimum payout threshold and successful verification checks.
• Payout processing times may vary depending on the chosen payout method and the processing times of the respective financial institutions or third-party processors. SHARE is not responsible for delays caused by these external entities.

Fees:

• Transaction fees (a percentage of the sale price) and payout fees (a fixed amount or percentage per payout) will be clearly displayed to sellers before they list their content and initiate a payout. These fees may vary based on your subscription plan and the chosen payout method.
• Currency conversion fees will apply if your earnings are in a currency different from your payout currency. These fees are determined by our payment processors and will be displayed during the payout process.
• SHARE reserves the right to update its fee structure at any time, with prior notice to users.

6. Data protection & encryption

All uploaded files are stored securely on our servers using industry-standard encryption protocols (e.g., AES-256) both at rest and in transit (using TLS/SSL). We implement robust security measures to protect your data against unauthorized access, alteration, disclosure, or destruction. We do not access user files except when strictly required for essential operational purposes such as legal compliance, content moderation to ensure adherence to our Acceptable Use Policy, or to assist in resolving disputes between users. Sharing options for these files include secure links, QR codes, email integration, and direct sharing via messaging platforms, ensuring users can easily share their content while maintaining a high level of security and privacy.

• While we strive to protect your data, no method of transmission over the internet or electronic storage is completely secure. Therefore, we cannot guarantee absolute security.
• You are responsible for taking appropriate measures to secure your account credentials and the devices you use to access SHARE.
• Our Privacy Policy provides more detailed information about how we collect, use, and protect your personal data. By using SHARE, you consent to our Privacy Policy.

7. Acceptable use policy

By using SHARE, you agree not to upload, share, or distribute any content that is illegal, harmful, offensive, or violates the rights of others. This includes, but is not limited to: copyrighted material without proper authorization, pornographic or sexually explicit content, content that promotes violence, hate speech, discrimination, harassment, or illegal activities. Additionally, you agree not to use SHARE for phishing, scams, or any other fraudulent behavior, nor to violate any local, national, or international financial regulations, including those related to money laundering and terrorism financing.

• You are solely responsible for the content you upload and share on SHARE.
• You agree not to use SHARE to solicit personal information from minors.
• You agree not to engage in any activity that disrupts or interferes with the operation of SHARE or the experience of other users, including the use of bots, spiders, or other automated means to access the platform.
• Violations of this Acceptable Use Policy may result in immediate account suspension or termination, removal of the offending content, and potential legal action taken against the user responsible for the breach. SHARE reserves the right to report illegal activities to the appropriate authorities.

8. Limitation of liability

To the maximum extent permitted by applicable law, SHARE, its parent company Rapido Connect LLC, and their respective affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including, without limitation, damages for loss of profits, data, use, goodwill, or other intangible losses) arising out of or relating to your access to or use of the platform, any service interruptions or delays, disputes between sellers and buyers, or any losses resulting from fraudulent activities by third parties, unauthorized access to your account or data, or any errors or omissions in the content or operation of the platform. Users are solely responsible for managing their transactions, assessing the risks involved, and ensuring all actions comply with the platform's policies and applicable laws.

• SHARE provides the platform on an "as is" and "as available" basis without any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
• SHARE does not guarantee the availability, accuracy, completeness, reliability, or timeliness of the platform or its content.
• Your sole and exclusive remedy for dissatisfaction with the platform is to stop using it.

9. Change of terms of use

SHARE reserves the right to modify these terms at any time. We will provide reasonable notice of any material changes, such as by posting the updated terms on our platform or sending you an email notification to the email address associated with your account. Your continued use of the platform after the effective date of the revised terms constitutes your acceptance of the changes. It is your responsibility to review the terms periodically for any updates or modifications.

10. Stripe terms

If you choose to make or receive payments through our Service, you may be required to use Stripe, a third-party payment processor. By using Stripe, you agree to comply with all of Stripe’s terms of service, Privacy Policy, and any other applicable policies. It is your responsibility to read, understand, and comply with Stripe’s rules and regulations. RapidoConnect, as the parent company of SHARE, is not responsible for any issues, disputes, or liabilities arising from your use of Stripe’s services, including but not limited to transaction failures, fees, or data breaches on Stripe's platform, and users agree to indemnify and hold RapidoConnect harmless against such claims.

11. Dispute resolution

Any disputes or claims arising out of or relating to these terms or the services provided by SHARE shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association ("AAA") in effect at the time the dispute arises. The arbitration shall take place in the jurisdiction where Rapido Connect LLC is located, unless otherwise mutually agreed upon in writing. The decision of the arbitrator will be final and binding on all parties involved, and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. You and SHARE agree that any legal proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action.

• Before initiating arbitration, you agree to first contact us directly and attempt to resolve the dispute informally by sending a written notice to the contact information provided below, outlining the nature of the dispute and the relief sought.
• If we are unable to resolve the dispute within thirty (30) days of receiving your notice, either party may initiate arbitration proceedings.
• Notwithstanding the agreement to arbitrate, both parties retain the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

12. Indemnification

You agree to indemnify, defend, and hold harmless Rapido Connect LLC, SHARE, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the platform, including but not limited to: (a) your violation of these terms; (b) your violation of any third-party right, including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right; (c) any claim that your content caused damage to a third party; or (d) your negligence or willful misconduct. This indemnification obligation will survive the termination of these terms and your use of the platform.

13. Governing law

These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict of law principles.

14. Entire agreement

These Terms constitute the entire agreement between you and SHARE concerning the platform and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and SHARE with respect to the platform.

15. Severability

If any provision of these terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

16. No waiver

The failure of SHARE to enforce any right or provision of these terms will not constitute a waiver of future enforcement of that right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of SHARE.
